Terms of Service

Effective date: August 7, 2026 Last updated: August 7, 2026

These Terms of Service ("Terms") are a binding agreement between you and Khella Productions Inc, a Delaware corporation ("we," "us," "our," or "Company"), governing your access to and use of Design Sprint AI (the "Service"), a web application available at discovery.designsprint.ai that helps you turn a business idea into a structured requirements document through an interactive, AI-guided interview.

By creating an account, or by otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not create an account and do not use the Service.

The Service also involves the processing of your personal data. Our Privacy Policy explains what we collect, how we use it, and — importantly for this Service — how your content is shared with third-party AI infrastructure. The Privacy Policy is incorporated into these Terms by reference. If you have not read it, read it before you use the Service; Section 7 of these Terms depends on it.

Section 15 requires most disputes to be resolved by individual arbitration rather than in court, and waives class actions. You may opt out of arbitration within 30 days — Section 15.8 explains how.

1. Who We Are; Eligibility

Khella Productions Inc PO Box 56897, Sherman Oaks, CA 91413 privacy@khella.com

You must be at least 18 years old, or the minimum age required to consent to use of online services in your jurisdiction, whichever is higher, to use the Service. By using the Service, you represent that you meet this requirement. The Service is not directed to children, and we do not knowingly permit anyone under the applicable minimum age to create an account. This is a contractual eligibility requirement; it is not, by itself, an age-verification mechanism, and we do not currently verify age at signup beyond this representation.

You further represent that you have the legal capacity to enter into a binding contract, and, if you are using the Service on behalf of a company or other legal entity, that you have the authority to bind that entity to these Terms — in which case "you" refers to that entity.

2. The Service

The Service conducts an AI-facilitated interview about your business idea and generates structured documents from your answers. The "facilitator" that asks you questions and drafts your documents is an artificial intelligence system (a large language model), not a human being.

Fees, if any, for the Service or particular features of it will be disclosed to you before you incur them. If we introduce paid functionality, any applicable pricing terms will apply to you consistent with Section 16.

We may add, change, or remove features of the Service at any time, and we may suspend or discontinue the Service entirely, subject to Section 17.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at privacy@khella.com if you believe your account has been accessed without authorization.

You agree to provide accurate information when creating your account and to keep it up to date. You may not create an account using a false identity, impersonate any person or entity, or create an account for anyone other than yourself without authorization.

4. Acceptable Use

You agree not to, and not to permit anyone else to:

  • use the Service for any unlawful purpose, or in violation of any applicable local, state, national, or international law;
  • use the Service to generate, store, or transmit content that is defamatory, fraudulent, infringing, or that violates the privacy, publicity, or intellectual property rights of any third party;
  • attempt to gain unauthorized access to the Service, other users' accounts, or our systems or networks;
  • interfere with, disrupt, or place an unreasonable load on the Service's infrastructure (including through automated scraping, denial-of-service activity, or circumventing rate limits);
  • reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law gives you the right to do so despite this restriction;
  • use the Service to develop a product or service that competes with the Service, or to train a machine learning model that competes with the Service, using output obtained from the Service for that purpose;
  • misrepresent AI-generated output as human-created work product in a context where that distinction is legally or professionally material (for example, submitting unreviewed AI output as independently verified professional advice to a third party); or
  • probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures, without our prior written authorization.

We may investigate and take appropriate action against anyone who, in our reasonable judgment, violates this Section, including suspending or terminating an account under Section 13.

5. Your Content

5.1 What you submit

"Your Content" means the interview answers, messages, sprint names and objectives, and any other material you submit to the Service, together with the structured documents the Service generates from that material.

5.2 You keep ownership of what you submit

As between you and us, you retain all rights, title, and interest in Your Content that you submit to the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process Your Content solely as necessary to operate, maintain, and provide the Service to you, including sending it to the third-party AI infrastructure described in Section 7.

5.3 Your representations about what you submit

You represent that you have the right to share Your Content with us and, through the Service, with the third-party AI infrastructure providers described in Section 7 — for example, that submitting it does not breach a confidentiality obligation you owe to someone else (such as an employer, a co-founder, or a client), does not infringe a third party's intellectual property or other rights, and does not violate any law. You are solely responsible for Your Content and for the consequences of submitting it.

5.4 Non-confidentiality of Your Content

The Service is not a confidential channel, and Your Content is not treated as confidential information by us. Your Content — which may describe your business plans, ideas, and strategy in detail — is transmitted to third-party AI infrastructure that we do not control, as described in Section 7. We do not offer an enterprise-grade confidentiality agreement, non-disclosure agreement, or contractual confidentiality commitment specific to Your Content. Do not submit information through the Service that you need to keep confidential or that you would not be comfortable having processed by a third party. This Section addresses the confidentiality of your business ideas and strategy; our Privacy Policy separately describes how we handle personal data.

6. AI-Generated Output

6.1 Output may be inaccurate — verify before you rely on it

The Service uses a large language model to generate interview questions and to synthesize your answers into documents ("Output"). Output may not always be accurate and may contain material inaccuracies even if it appears accurate because of its level of detail or specificity. The Service is a drafting aid, not a source of verified fact, business, legal, or financial advice. You must independently verify any Output before relying on it for a business decision, a filing, a communication to investors or partners, or any other consequential purpose. We do not warrant that Output is complete, current, or suitable for your particular purpose.

6.2 Ownership of Output

To the extent you have rights in Output under applicable law, we assign to you our right, title, and interest — if any — in that Output. This is not a representation that Output is protected by copyright or any other intellectual property right. Whether a particular piece of Output is protectable, and who owns it if it is, may depend on the extent of your own creative contribution and on the law of your jurisdiction.

6.3 Output is not exclusive to you

Because Output is generated by a large language model in response to your prompts, similar or identical Output may be generated for other users who submit similar prompts. We do not represent or warrant that Output generated for you is unique.

7. Third-Party AI Processing

Your Content is sent to a third-party AI infrastructure provider (OpenRouter), which routes it to one or more underlying large language model providers to generate the AI facilitator's responses and synthesize your documents. See also our Privacy Policy, Section 6.

We configure our AI infrastructure to request routing only to providers that do not train on submitted content. This is a preference we set, not a guarantee, and it does not cover data retention — providers may retain Your Content regardless of this setting. Retention and training practices differ between AI model providers and can change at any time at the provider's discretion. Assume that Your Content may be retained by a third-party AI provider, and do not include sensitive or confidential details in your interview answers.

These Terms do not name the specific underlying AI model or provider, which may change at any time. Do not assume any particular provider's data practices apply to Your Content.

Limitation of liability specific to third-party AI processing. To the maximum extent permitted by applicable law, we are not liable for any retention, use, disclosure, or training use of Your Content by a third-party AI provider once Your Content has been transmitted to that provider as described in this Section — this includes any use that provider makes of Your Content after receiving it, and any consequence to you of that use, whether or not that use is consistent with that provider's own public statements. This limitation is in addition to, and does not narrow, the general limitation of liability in Section 11.

8. Feedback

If you send us comments, suggestions, bug reports, or other feedback about the Service ("Feedback"), you agree that we may use the Feedback however we choose, including to improve the Service, without any obligation or other payment to you. You represent that your Feedback is not confidential and does not violate any third party's rights.

9. Intellectual Property in the Service

Excluding Your Content and Output, the Service — including its software, design, text, graphics, and all associated intellectual property rights — is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms. Nothing in these Terms transfers any ownership right in the Service itself to you.

10. DMCA Notice and Takedown

If you believe that content available through the Service infringes your copyright, you may send a notice to our designated agent that includes:

  1. a physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
  2. identification of the copyrighted work claimed to have been infringed;
  3. identification of the material claimed to be infringing, and information reasonably sufficient to permit us to locate it;
  4. your contact information (address, telephone number, and email address);
  5. a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  6. a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Designated agent for notice: Khella Productions Inc PO Box 56897, Sherman Oaks, CA 91413 privacy@khella.com

A user who believes their content was removed in error may submit a counter-notice to the same address containing the information required under 17 U.S.C. § 512(g)(3). We may terminate the accounts of users determined to be repeat infringers.

11. Disclaimers and Limitation of Liability

11.1 "AS IS." THE SERVICE, INCLUDING ALL OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

11.2 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE SIX MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50) IF YOU HAVE PAID US NOTHING, WHICHEVER IS GREATER. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.

Nothing in this Section 11 limits or excludes liability for our own fraud, for willful injury to person or property, for violation of law, or for any other liability that cannot lawfully be limited or excluded under applicable law, including any non-waivable consumer protection under the California Consumers Legal Remedies Act. As to those categories only, this Section applies only to the fullest extent the law allows, and the remainder of this Section 11 remains in full effect for all other claims.

11.3 Basis of the bargain. You acknowledge that we make the Service available to you in reliance on the warranty disclaimers and limitations of liability in this Section, that they reflect a reasonable allocation of risk, and that they form an essential basis of the bargain between you and us.

12. Indemnification

You agree to indemnify, defend, and hold harmless Khella Productions Inc and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) Your Content, including any claim that it infringes a third party's rights or that you did not have the right to submit it; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your use of the Service in a manner not authorized by these Terms. We reserve the right to assume the exclusive defense of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense. Nothing in this Section requires you to indemnify us for a claim arising solely from our own fraud, willful injury to person or property, or violation of law, or for any other liability that cannot lawfully be shifted to you under applicable law, including any non-waivable consumer protection under the California Consumers Legal Remedies Act.

13. Termination

You may stop using the Service and delete your account at any time through the account settings in the Service.

We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms, if required to comply with law, or if we discontinue the Service under Section 17.

Upon termination, your right to use the Service ends immediately. Section 5.2 (license grant), Section 5.4 (non-confidentiality), Section 6 (AI-generated output), Section 7 (third-party AI processing), Section 8 (feedback), Section 10 (DMCA), Section 11 (disclaimers and limitation of liability), Section 12 (indemnification), Section 15 (dispute resolution), and Section 18 (general terms) survive termination of your account or these Terms, along with any other provision that by its nature is intended to survive.

14. Export Controls and Sanctions

You may not access or use the Service if you are located in a country subject to a U.S. government embargo, or if you are on any U.S. government list of prohibited or restricted parties, including the U.S. Treasury Department's Specially Designated Nationals list or the U.S. Commerce Department's Denied Persons List or Entity List. By using the Service, you represent that you are not located in, under the control of, or a national or resident of any such country, and that you are not on any such list.

15. Dispute Resolution — Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

15.1 Agreement to arbitrate

You and Khella Productions Inc agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (a "Dispute") through binding, individual arbitration, rather than in court, except as set out in this Section. This agreement to arbitrate is intended to be interpreted broadly and covers, without limitation, disputes about the formation, applicability, breach, termination, enforcement, interpretation, or validity of these Terms, and disputes about the scope or enforceability of this arbitration provision itself.

15.2 Informal resolution first

Before either party may commence an arbitration, that party must first send the other a written notice of the Dispute describing the nature of the claim and the specific relief sought, and the parties must attempt in good faith to negotiate a resolution directly for at least 60 days from the date the notice is sent. Notice to us must be sent to privacy@khella.com and must include your name, the account email address, a description of the Dispute, and the relief you are seeking. Notice to you will be sent to the email address associated with your account. Neither party may commence arbitration or a small-claims action until this 60-day informal-resolution period has concluded without resolution.

Any statute of limitations applicable to the Dispute is tolled (paused) for the duration of this 60-day informal-resolution period, so that sending the notice required by this Section does not cause a Dispute to become time-barred solely because of the time this process takes.

15.3 Arbitration procedure

Arbitration will be conducted by a neutral arbitrator through a reputable individual-arbitration provider mutually agreed by the parties, or, absent agreement, through the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be conducted in the English language. Unless you and we agree otherwise, the arbitration will be conducted in the county where you reside, or, if you prefer, remotely by video or telephone conference, or on the basis of written submissions alone where the AAA's Consumer Arbitration Rules permit. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

15.4 Class action waiver

You and we each agree that any Dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator has no authority to conduct any arbitration on a class, collective, or representative basis, or to combine or consolidate more than one person's claims, and may award relief only in favor of the individual party seeking relief. By agreeing to arbitrate a Dispute under this Section 15, you and we each give up the right to have that Dispute decided by a court or by a jury.

15.5 Individual Disputes

Each Dispute will be arbitrated individually, on its own facts. Neither party will request or agree to have a Dispute jointly administered, consolidated, staged, or resolved together with other individuals' Disputes as part of any batching, bellwether, or mass-filing procedure, and neither party may insist that the other participate in one. This Section does not limit an arbitration provider's own generally applicable rules for administering multiple related filings.

If our first-choice arbitration provider named in Section 15.3 declines to administer a Dispute consistent with this Section, either party may select another reputable individual-arbitration provider (for example, JAMS) to administer that Dispute under this Section 15, applying that provider's consumer arbitration rules, rather than treating the arbitration agreement as void. If no alternative provider is available or willing to administer an individual Dispute consistent with Section 15.4, that Dispute — and only that Dispute — will proceed in court under Section 18.2 instead, and the class-action waiver in Section 15.4 continues to apply to it there.

15.6 Public injunctive relief

Nothing in this Section 15 requires you to arbitrate, or waives your right to seek, public injunctive relief — that is, injunctive relief sought primarily to prohibit conduct that threatens future injury to the general public, as opposed to relief that would benefit only you or a group of similarly situated individuals. If a court determines that a request for public injunctive relief in a particular Dispute cannot be arbitrated consistent with applicable law, that request will proceed in court under Section 18.2, while the remainder of that Dispute (including any individual claim for damages or other relief) remains subject to arbitration under this Section 15.

15.7 Small claims court carve-out

Either party may instead bring an individual Dispute in small claims court, if the Dispute qualifies and remains in that court on an individual (non-class, non-representative) basis, as an alternative to arbitration.

15.8 Your right to opt out

You may opt out of this Section 15 entirely. To opt out, send an email to privacy@khella.com with the subject line "Arbitration Opt-Out" within 30 days of the date you first agree to these Terms (or, if we materially change this Section 15 in the future, within 30 days of the date the change takes effect for you). Your opt-out notice must include: (a) your full name; (b) the email address associated with your account; and (c) a clear statement that you wish to opt out of the arbitration agreement in these Terms. The 30-day clock begins running on the date you first agree to these Terms by creating an account (or, for a later change to this Section, on the date the changed Section takes effect for you). If you opt out, neither you nor we will be required to arbitrate Disputes between us, but every other part of these Terms — including Section 18.2 (governing law and forum) — continues to apply, and any Dispute not resolved informally under Section 15.2 will be resolved in the courts identified in Section 18.2.

15.9 Severability of this Section

If any part of this Section 15 is found to be unenforceable, the remainder of this Section will remain in force, except that if the class-action-waiver provision in Section 15.4 is found unenforceable as to a particular Dispute, the arbitration agreement as it applies to that particular Dispute will be unenforceable and that Dispute will proceed in court under Section 18.2, but the rest of these Terms — including the arbitration agreement as applied to all other Disputes — will remain in effect.

16. Modification of These Terms

We may update these Terms from time to time. If we make a material change, we will notify you — for example, by email or a prominent notice within the Service — before the change takes effect. We will not treat your silent, continued use of the Service as acceptance of a material change. Where a material change requires your agreement, we will ask you to affirmatively accept the updated Terms before you continue using the Service, rather than relying on continued use alone. If you do not agree to a material change, your option is to stop using the Service and delete your account; continuing to use the Service after being asked to accept updated Terms constitutes your acceptance of them.

Each version of these Terms is dated. We maintain a record of prior versions.

17. Service Modification and Discontinuation

We may modify, suspend, or discontinue the Service, or any part of it, at any time, with or without notice. We are not liable to you or to any third party for any modification, suspension, or discontinuation of the Service. If we discontinue the Service entirely, we will make reasonable efforts to notify registered users in advance where practicable.

18. General Terms

18.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service, and supersede any prior agreements between you and us regarding the Service.

18.2 Governing law and forum

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Subject to Section 15 (Dispute Resolution), any Dispute not subject to arbitration — including any Dispute where you have opted out under Section 15.8, or where a Dispute is found not to be subject to arbitration — will be brought exclusively in the state or federal courts located in California, and you and we each consent to the personal jurisdiction of those courts.

18.3 Severability

If any provision of these Terms (other than Section 15, which has its own severability rule in Section 15.9) is found unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

18.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms, in whole or in part, without restriction, including to a successor entity in connection with a merger, acquisition, financing, or sale of assets, provided that the successor agrees to be bound by these Terms (or materially similar terms).

18.5 No waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

18.6 Notices

We may provide notices to you by email to the address associated with your account, or by posting a notice within the Service. You may provide notice to us at privacy@khella.com, or by mail at Khella Productions Inc, PO Box 56897, Sherman Oaks, CA 91413.

18.7 Third-party services

The Service may reference or link to third-party websites or services that we do not control. We are not responsible for the content, policies, or practices of any third-party website or service.

18.8 Relationship of the parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
